Terms of Service

1. Agreement to Terms

These Terms of Service (“Terms”) govern your access to and use of RHETORYX(“Service”), operated by RHETORYX Inc. (“we,” “us,” or “our”). By creating an account or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an institution or organization, you represent that you have authority to bind that entity to these Terms.

2. Description of Service

RHETORYX is an AI-powered oral defense platform that enables instructors to create assignments, conduct automated oral examinations, score student responses against rubrics, and provide feedback. Features include video recording, AI transcription, automated evaluation, and grade reporting.

3. Eligibility

You must be at least 13 years old to use the Service. If you are under 18, you must have parental or guardian consent. The Service is intended for use in accredited educational institutions. By using the Service, you represent that all information you provide is accurate and complete.

4. Accounts and Access

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at support@rhetorix.ai if you suspect unauthorized access. We reserve the right to suspend or terminate accounts that violate these Terms.

5. Subscriptions and Billing

Paid plans are billed on a monthly, semester, or annual basis depending on the plan selected. All fees are non-refundable except as required by law. Free trials are available for self-serve plans; after the trial period, your payment method will be charged unless you cancel before the trial ends. You may cancel at any time through the billing portal; cancellation takes effect at the end of the current billing period.

Prices are stated in U.S. dollars and do not include applicable taxes. We may change pricing with 30 days' notice. Continued use after a price change constitutes acceptance of the new price.

6. Educational Data and FERPA

We understand that student educational records are protected under the Family Educational Rights and Privacy Act (FERPA) and similar state and international laws. When we process student data on behalf of an educational institution, we act as a “school official” with a legitimate educational interest as defined under FERPA. We do not sell student data, use it for advertising, or share it with third parties except as necessary to provide the Service or as required by law.

Institutions using the Service are responsible for obtaining any necessary consents from students and complying with applicable privacy laws in their jurisdiction.

7. Content and Recordings

You retain ownership of all content you upload or create through the Service, including assignment materials, rubrics, and recordings. By using the Service, you grant us a limited license to store, process, and transmit your content solely to provide the Service. We do not use student recordings or transcripts to train AI models without explicit written consent.

Recordings and transcripts are retained for the period specified by your plan (90 days for Individual Professor, 180 days for Department Pilot, and as negotiated for Institution License) and then permanently deleted.

8. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any regulations
  • Attempt to gain unauthorized access to any part of the Service
  • Interfere with or disrupt the integrity or performance of the Service
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Impersonate any person or entity or misrepresent your affiliation
  • Use the Service to harass, abuse, or harm any individual
  • Upload content that infringes any third-party intellectual property rights

9. AI-Generated Evaluations

The Service uses artificial intelligence to generate evaluations, scores, and feedback. AI-generated content is provided as a tool to assist instructors and is not a substitute for professional academic judgment. Instructors are solely responsible for final grades and any academic decisions made using AI-generated evaluations. We make no warranty regarding the accuracy, completeness, or fitness of AI-generated output for any particular purpose.

10. Intellectual Property

The Service and its original content (excluding user-provided content), features, and functionality are and will remain the exclusive property of RHETORYX Inc. and its licensors. Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent.

11. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RHETORYX INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO US IN THE TWELVE MONTHS PRECEDING THE CLAIM.

13. Governing Law

These Terms shall be governed by the laws of the State of Louisiana, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Orleans Parish, Louisiana.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by email or by displaying a notice in the Service at least 14 days before the changes take effect. Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.
